Website Terms of Service
Last Updated: 2026-05-23
These Website Terms of Service ("Website Terms") are a legally binding agreement between you (the "Visitor" or "you") and Wireten Inc. ("Wireten," "we," "us," or "our"). They govern your visit to and use of the Wireten website located at wireten.com (the "Website"), including browsing our marketing and informational pages, submitting a contact form, interacting with our cookie consent banner, and downloading any publicly available materials we offer. The term "Visitor" refers to your activity on the Website only and does not change your status, rights, or obligations as a Wireten Platform user, which are governed exclusively by the Platform Agreements (see Section 2).
Acceptance. When you submit a contact form, sign up for marketing communications, click an "I agree" or similarly labeled control, or take any other affirmative action on the Website that displays a conspicuous notice referencing and linking to these Website Terms at the point of action, you confirm your agreement to these Website Terms in connection with that action. We also place a link to these Website Terms in the footer of every page of the Website and ask you to review them before using the Website. If you do not agree, please do not use the Website.
1. SCOPE OF THESE WEBSITE TERMS
These Website Terms apply only to your activity as a Visitor to the Website. They do not govern your use of the Wireten Platform service, your account, money movement, invoicing, payments, supplier matching, in-platform messaging, or any other authenticated activity. Those activities are governed by the Platform Agreements described in Section 2.
2. RELATIONSHIP TO THE PLATFORM AGREEMENTS
These Website Terms govern your use of the Wireten website at wireten.com (the "Website"). If you register for or use the Wireten Platform service, your use of the Platform is governed by a separate set of agreements presented to you at signup, including the Terms and Conditions, the Customer User Service Agreement (for customers) or the Supplier User Service Agreement (for suppliers), the ACH Debit Authorization, the Supplier Agency Agreement (for suppliers), the Platform Privacy Policy, the Acceptable Use Policy, and the applicable Cancellation Policy (collectively, the "Platform Agreements"). The Platform Agreements control your use of the Platform service.
One-way subordination. These Website Terms do not modify, supersede, limit, or expand the Platform Agreements in any respect. In case of any conflict, ambiguity, or overlap between these Website Terms and any Platform Agreement with respect to (a) the Platform service, (b) any data, transaction, or activity that occurs in or through the Platform, or (c) any person's status, rights, or obligations as a Platform user, the applicable Platform Agreement controls. Nothing in these Website Terms shall be construed as a waiver, amendment, novation, or release of any term in any Platform Agreement.
Dual status. If you are both a Visitor and a Platform user, these Website Terms apply only to your Website activity (such as browsing public marketing pages or submitting a public contact form). Any dispute, claim, term, defined term, consent, authorization, dispute-resolution provision, limitation of liability, indemnification, choice of law, or other contract term in the Platform Agreements continues to control as to your Platform activity, regardless of whether the activity giving rise to the dispute also involved your visit to the Website. The defined terms used in these Website Terms (including "Visitor" and "Website") have no application to the Platform Agreements, which use their own defined terms.
3. ACCEPTABLE USE OF THE WEBSITE
You agree not to:
- Use the Website for any unlawful, fraudulent, deceptive, or abusive purpose;
- Attempt to gain unauthorized access to any portion of the Website, our servers, or any connected systems;
- Interfere with or circumvent any security control, access restriction, rate limit, or authentication mechanism on the Website;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Website or any software made available through it;
- Scrape, crawl, harvest, or extract data from the Website beyond ordinary browser use, except as expressly permitted by a published robots.txt directive or with our prior written consent;
- Transmit any virus, malware, or other code designed to disrupt, damage, or limit the functionality of the Website;
- Use the Website to send unsolicited communications (spam), engage in phishing, or otherwise misuse any contact form, newsletter sign-up, or other intake mechanism;
- Impersonate any person or entity, or misrepresent your affiliation with any business, in any submission to the Website; or
- Violate any applicable local, state, national, or international law or regulation in connection with your use of the Website.
We reserve the right to investigate suspected violations and to take any action we deem appropriate, including restricting or blocking access to the Website, without prior notice or liability.
4. INTELLECTUAL PROPERTY
All content on the Website — including text, images, graphics, logos, marks, layouts, designs, downloadable materials, and underlying code — is owned by Wireten or its licensors and is protected by intellectual property laws. "Wireten," the Wireten logo, and other Wireten marks are trademarks or service marks of Wireten. You are granted a limited, revocable, non-exclusive, non-transferable license to view and use the Website for your personal, internal informational purposes. You may not copy, modify, distribute, publish, frame, mirror, or create derivative works from any part of the Website without our prior written consent, except that you may print or save individual pages for your own non-commercial reference.
5. FEEDBACK
If you send us suggestions, ideas, comments, or other feedback about Wireten, the Website, or our services through a Website channel (collectively, "Feedback"), you grant Wireten a worldwide, irrevocable, perpetual, royalty-free, sublicensable license to use, reproduce, modify, and exploit the Feedback for any purpose, without compensation or attribution to you. This Section applies only to Feedback you submit through the Website; feedback or content you submit through the Wireten Platform is governed by the Platform Agreements.
6. WEBSITE ANALYTICS
We use third-party analytics services to collect anonymous usage data about the Website, including pages visited, session duration, approximate geographic location (city or region level), device and browser information, referral sources, and interactions with page elements. This data is collected through cookies and similar technologies, is used to operate and improve the Website, and is governed by our Website Privacy Policy and Cookie Policy. You can opt out of analytics tracking through the cookie consent banner displayed on the Website. We do not use analytics data for advertising, remarketing, or cross-site tracking.
7. DISCLAIMER OF WARRANTIES
THE WEBSITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WIRETEN EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, WITH RESPECT TO THE WEBSITE. WIRETEN DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION ON THE WEBSITE IS ACCURATE, COMPLETE, OR CURRENT. INFORMATION ON THE WEBSITE IS PROVIDED FOR GENERAL INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE LEGAL, FINANCIAL, TAX, OR PROFESSIONAL ADVICE.
8. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WIRETEN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE OR THESE WEBSITE TERMS, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), AND EVEN IF WIRETEN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, WIRETEN'S TOTAL AGGREGATE LIABILITY TO YOU FOR MONETARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE WEBSITE TERMS OR YOUR USE OF THE WEBSITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). This cap reflects the no-fee, informational nature of the Website, the parties' agreed allocation of risk for unauthenticated visitor traffic, and the availability of a meaningful remedy (including statutory remedies preserved below) within that cap.
Carve-outs. Nothing in this Section limits, excludes, or modifies any liability that cannot lawfully be limited, excluded, or modified, including liability for: (a) fraud or fraudulent misrepresentation; (b) gross negligence or willful misconduct; (c) death or personal injury caused by negligence; (d) any non-waivable statutory right of a Visitor under applicable consumer-protection law (including, for California residents, rights under the Consumers Legal Remedies Act, Cal. Civ. Code § 1750 et seq., and rights to seek public injunctive relief under California law); or (e) any non-waivable right under the data-protection or privacy laws of a Visitor's jurisdiction. To the extent a court of competent jurisdiction holds the $100 cap unconscionable as to a specific claim, the cap shall be reduced (or, if necessary, severed) only as to that claim, and shall remain in effect for all other claims.
Reciprocity for non-monetary remedies. Nothing in this Section limits either party's right to seek equitable or injunctive relief in connection with a breach of these Website Terms, and nothing in this Section purports to limit any Visitor's right to obtain any non-monetary remedy.
This Section does not apply to disputes governed by the Platform Agreements, which have their own limitation of liability provisions and which continue to control as to Platform activity.
9. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Wireten and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Website Terms; (b) your misuse of the Website (including any activity prohibited by Section 3); (c) your violation of any applicable law or regulation in connection with your use of the Website; or (d) your negligence or willful misconduct in connection with the Website. This indemnification covers only your activity as a Visitor to the Website; indemnification for Platform activity, if any, is governed by the Platform Agreements.
10. SUSPENSION OR TERMINATION OF WEBSITE ACCESS
We may restrict, suspend, or terminate your access to the Website (or any portion of it) at any time, with or without cause and with or without notice, including if we believe in good faith that you have violated these Website Terms or applicable law, or that your activity may pose a risk to the Website, to other users, or to Wireten. Upon any such action: (a) your right to access the Website immediately ends; (b) you must stop accessing the Website; and (c) the provisions of these Website Terms that by their nature should survive (including Sections 4, 5, 7, 8, 9, 11, 12, and 13) shall survive.
Restriction or termination of Website access under this Section is separate from, and does not by itself affect, any Wireten Platform account you may hold; account suspension or termination is governed by the Platform Agreements.
11. DISPUTE RESOLUTION
11.1 Informal Resolution
Before initiating formal dispute resolution, the parties agree to attempt in good faith to resolve any dispute arising out of or relating to these Website Terms or the Website by contacting each other and negotiating informally for at least thirty (30) days.
11.2 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Website Terms or your use of the Website that cannot be resolved informally shall be resolved through confidential, binding, individualized arbitration administered by JAMS under its applicable consumer arbitration rules and minimum standards (including the JAMS Consumer Minimum Standards) in effect at the time the arbitration is commenced (or, if JAMS is unavailable or declines to administer, by another nationally recognized arbitration provider mutually agreed by the parties, applying that provider's consumer rules). The arbitration shall be conducted in English by a single neutral arbitrator. The seat of arbitration shall be the U.S. county of the Visitor's residence (or, at the Visitor's election, by telephone, video, or document-only proceeding where permitted by the applicable rules). The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Gateway questions. Notwithstanding any delegation provision in the JAMS rules, the following threshold questions are reserved for a court of competent jurisdiction and not the arbitrator: (a) whether these Website Terms (rather than a Platform Agreement or another contract) govern a particular dispute; (b) the enforceability, scope, and severability of Section 11.3 (Class Action Waiver); and (c) any challenge to the formation or existence of this arbitration agreement. All other questions of arbitrability are for the arbitrator.
Mass arbitration. If twenty-five (25) or more substantially similar arbitration demands are filed against Wireten by or with the assistance of the same law firm or coordinated group of counsel within any sixty (60)-day period, the parties agree to work with JAMS in good faith to apply any then-current JAMS mass-arbitration or batch procedures, including consolidated administration of common issues, in order to manage cost and pace fairly to both sides. This paragraph does not waive any individual Visitor's right to bring an individual arbitration on the merits.
Arbitration fees. For any arbitration initiated by an individual Visitor, Wireten will pay all arbitration filing, administrative, and arbitrator fees that exceed the fee the Visitor would have paid to file the same claim in the state or federal court of competent jurisdiction nearest to the Visitor's residence (or, for non-U.S. Visitors, in the courts of the state of Wireten's incorporation). If the arbitrator determines the Visitor's claim is frivolous or brought for an improper purpose, the arbitrator may reallocate fees as permitted by the JAMS rules and applicable law.
Right to opt out of arbitration. You may opt out of this arbitration agreement by sending a written opt-out notice to privacy@wireten.com with the subject line "Arbitration Opt-Out" within 30 days after you first accept these Website Terms. A timely opt-out does not affect any other provision of these Website Terms.
Plain-English summary (not a substitute for the formal text above). By agreeing to these Website Terms, you and Wireten are each giving up the right to sue in court (other than small-claims court) and the right to a trial by judge or jury for disputes about the Website. Instead, both sides agree to use private arbitration, in which a neutral arbitrator — not a judge or jury — resolves the dispute.
11.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING UNDER THIS SECTION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. You waive your right to participate in any class action, class arbitration, or private attorney general action, or other representative proceeding with respect to any matter governed by these Website Terms, except as expressly carved out below.
Public injunctive relief carve-out (McGill). Nothing in this Section waives a Visitor's right to seek public injunctive relief in court to the extent such a waiver would be unenforceable under California law, including under McGill v. Citibank, N.A., 2 Cal. 5th 945 (2017). Any claim for public injunctive relief shall proceed in court, while any other claim for damages or individual relief shall continue in individual arbitration under Section 11.2.
Severability of class waiver. If the class action waiver in the first paragraph of this Section is held unenforceable as to any specific claim or remedy, then (a) that claim or remedy will be severed from arbitration and resolved in court, while (b) the remaining claims will continue in individualized arbitration under Section 11.2. If the class action waiver is held unenforceable in its entirety as to a claim, the arbitration agreement in Section 11.2 shall be null and void only as to that claim, and the rest of these Website Terms (including the limitation of liability in Section 8, the governing law in Section 12, and all other provisions) shall remain in full force and effect.
11.4 Small Claims Court
Notwithstanding Section 11.2, either party may bring an individual action in a small claims court of competent jurisdiction for disputes within that court's jurisdictional limits, in lieu of arbitration.
11.5 Scope — Platform Disputes Excluded
This Section 11 applies only to disputes arising out of or relating to these Website Terms or your use of the Website as a Visitor. It does not apply to any dispute governed by a Platform Agreement. Disputes about your Platform account, money movement, ACH authorization, invoicing, payments, supplier matching, in-Platform communications, or other Platform activity are governed exclusively by the dispute-resolution provisions of the applicable Platform Agreement, which control over this Section. Consistent with Section 11.2 (Gateway questions) and Coinbase, Inc. v. Suski, 602 U.S. 143 (2024), any question about which agreement (Website Terms or Platform Agreement) governs a particular dispute is decided by a court, not the arbitrator.
12. GOVERNING LAW
These Website Terms and any dispute arising under them shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. Visitors located outside the United States acknowledge and agree that U.S. law applies to access and use of the Website.
13. GENERAL PROVISIONS
13.1 Severability
If any provision of these Website Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
13.2 Waiver
Our failure to enforce any provision of these Website Terms shall not constitute a waiver of that or any other provision. A waiver is effective only if made in writing and signed by Wireten.
13.3 Assignment
You may not assign or transfer these Website Terms or your rights under them without our prior written consent. We may assign these Website Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
13.4 Force Majeure
We will not be liable for any failure or delay in performing under these Website Terms caused by circumstances beyond our reasonable control, including natural disasters, acts of government, war, terrorism, pandemics, labor disputes, power failures, internet disruptions, or third-party service provider failures.
13.5 Notices
We may give notice to you by posting on the Website or, if you have provided an email address (for example, through a contact form), by email to that address. Notices to us must be sent to the contact information in Section 15. Notices are deemed received upon delivery (for email) or upon posting (for Website notices).
13.6 No Third-Party Beneficiaries
These Website Terms are for the benefit of you and Wireten only and do not create any rights in any third party.
14. CHANGES TO THESE TERMS
We may modify these Website Terms at any time. When we make material changes, we will post the updated Website Terms on the Website with a revised "Last Updated" date and provide reasonable advance notice through a banner, pop-up, or other conspicuous notice on the Website. Material changes take effect on the date stated in the notice (and not earlier than the "Last Updated" date). Your continued use of the Website after the effective date of the updated Website Terms constitutes your acceptance of those updated terms. If you do not agree to a change, please stop using the Website before the effective date.
Non-material changes (such as corrections, clarifications, or formatting changes) take effect on posting.
